These Terms of Use (“Terms”) govern your access to and use of the Madd Ox Consulting website at www.madd-ox.com (the “Website”).
Please read these Terms carefully before using the Website. By accessing or using the Website, you agree to be bound by these Terms. If you do not agree with them, you should not use the Website.

Consulting services, if any, are provided under a separate agreement that establishes the scope of work, responsibilities, fees, deliverables, confidentiality obligations, and other terms applicable to that engagement.
If there is a conflict between these Terms and a separate written consulting agreement governing a specific engagement, the consulting agreement will control with respect to that engagement.
2. What This Site Is
The Website is an informational website for Madd Ox Consulting, an independent consulting business. It provides general information about our services, capabilities, experience, and areas of interest, together with a way to contact us.
The Website is not a client portal and does not provide user accounts, login functionality, payment processing, or a system for managing active consulting engagements.
Submitting a message through the Website's contact form starts a conversation with Madd Ox Consulting. It does not create a consulting engagement, establish a client relationship, constitute an offer or acceptance of a contract, or obligate either party to enter into an engagement.
No consulting engagement exists unless and until the relevant parties separately agree to one, ordinarily in writing.
Information presented on the Website may change over time. We may add, remove, or modify content, services, or features without notice.

Madd Ox Consulting reserves the right to assume exclusive control of the defense of any matter subject to indemnification, in which case you agree to reasonably cooperate with that defense.
You may not settle an indemnified claim in a manner that imposes an admission of wrongdoing, liability, or an obligation on Madd Ox Consulting without our prior written consent.
This indemnification obligation applies only to the extent permitted by applicable law.
10. Governing Law
These Terms and any dispute arising out of or relating to the Website or these Terms will be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-laws rules.
To the extent a dispute may properly be brought in court, you agree that the state and federal courts located in Massachusetts will have jurisdiction over disputes arising out of or relating to these Terms or your use of the Website, subject to any applicable jurisdictional requirements.
Nothing in this section prevents either party from seeking relief in another forum where applicable law requires that the dispute be heard there or does not permit the parties to agree to exclusive jurisdiction.
